Welcome to Sport Loop! These Terms of Service ("Terms") govern your access to and use of the Sport Loop platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Account Registration and Eligibility

Eligibility

To use Sport Loop, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• For users under 18, have parental or guardian consent to use the Service

Account Creation

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

Account Types

Sport Loop offers different account types (Player, Coach, Club Premium) with varying features and responsibilities. You agree to comply with the specific terms applicable to your account type.

Acceptable Use Policy

You agree to use Sport Loop only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or any malicious code
• Harass, abuse, threaten, or intimidate other users
• Post false, inaccurate, misleading, or defamatory content
• Spam, solicit, or engage in unauthorized commercial activities
• Attempt to gain unauthorized access to the Service or other users' accounts
• Scrape, harvest, or collect data from the Service using automated means
• Interfere with or disrupt the Service or servers
• Remove, circumvent, or modify any security features or proprietary notices
• Use the Service for any illegal or unauthorized purpose

User Content

Your Content

You retain all rights to the content you post on Sport Loop ("User Content"), including but not limited to profiles, photos, videos, messages, and performance data.

License to Sport Loop

By posting User Content, you grant Sport Loop a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and providing the Service.

Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws
• Your User Content does not contain confidential or proprietary information

Content Moderation

We reserve the right to remove, modify, or refuse to post any User Content that violates these Terms or that we deem inappropriate, without prior notice.

Intellectual Property Rights

Sport Loop Property

The Service and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Sport Loop. This includes but is not limited to:

• Trademarks, logos, and brand elements
• Software, code, and algorithms
• Design, layout, and user interface
• Text, graphics, images, and other materials

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

Prohibited Use

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Payments and Subscriptions

Pricing

Certain features of Sport Loop require payment. All prices are displayed in USD and are subject to change with reasonable notice.

Subscriptions

Some services are offered on a subscription basis (monthly or annually). By subscribing, you agree to:

• Automatic renewal unless canceled before the renewal date
• Payment of subscription fees using your chosen payment method
• Price increases with advance notice

Payment Processing

Payments are processed through secure third-party payment processors. Sport Loop does not store your payment card information. You agree to provide accurate payment information and authorize charges.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are provided in accordance with our refund policy:

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rated refunds available within 30 days of purchase
• One-time purchases: Case-by-case basis

Club and Team Management

Club Administrator Responsibilities

If you create or manage a club or team, you agree to:

• Comply with all applicable laws and regulations
• Ensure accurate representation of your club or team
• Respect the privacy and rights of members
• Handle payments and fees transparently
• Maintain appropriate conduct and communication
• Resolve disputes with members fairly and promptly

Member Responsibilities

As a club or team member, you agree to:

• Follow the rules and guidelines set by the club or team
• Pay any required fees or dues as agreed
• Communicate respectfully with coaches and other members
• Attend scheduled events and activities as committed

Termination

By You

You may terminate your account at any time by accessing your account settings or contacting us. Termination does not relieve you of any obligations to pay outstanding fees.

By Sport Loop

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or harmful activity
• Extended periods of inactivity
• Upon your request
• Discontinuation or modification of the Service

Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your User Content and account data
• Provisions that by their nature should survive termination will continue in effect

Disclaimers and Limitations of Liability

Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of any content

Third-Party Content

Sport Loop is not responsible for User Content or third-party content, links, or services. You use them at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Sport Loop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or use
• Loss of or damage to property
• Personal injury or emotional distress
• Business interruption

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Assumption of Risk

You acknowledge that sports activities involve inherent risks of injury. Sport Loop is a management platform and does not supervise, control, or assume liability for any sports activities, programs, or events.

Indemnification

You agree to indemnify, defend, and hold harmless Sport Loop, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in court.

Class Action Waiver

You agree to resolve disputes with Sport Loop on an individual basis only and waive any right to participate in class actions, class arbitrations, or representative actions.

Before pursuing formal dispute resolution, we encourage you to contact us at contact@sport-loop.com to seek an informal resolution.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification for significant changes
• Displaying a notice on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sport Loop regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Force Majeure

Sport Loop shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control.
